ARTICLE I              NAME AND LOCATION

       Section 1 -       The name of the Club shall be Southland Car Club, Inc.

       Section 2 -        The principal location of Southland Car Club, Inc. is Johnston County,
                               North Carolina.

ARTICLE II             PURPOSE

        Section 1 -     The purpose of Southland Car Club, Inc. will be for: The preservation
                              and restoration of Antique, Classic or Special Interest vehicles, fellowship
                              and enjoyment of it's members and the betterment of the community we
                              serve.


ARTICLE III            MEMBERSHIP AND DUES

        Section 1 -        This organization's prospective members must attend one (1) meeting
                                and fill out an application for membership. If prospective member joins
                                and pays annual dues in October, November or December, said
                                member(s) do not have to pay dues the following year.

       Section 2 -         All Dues are to be made to the Club Membership Committee Chairman. 
                                Non-payment of dues by the February meeting will result in automatic 
                                termination.  Each new member will receive a name badge and a copy
                                of the Club Constitution and By-Laws.

       Section 3 -         Members of Southland Car Club are not required to own an
                                Antique or Classic Automobile.

       Section 4 -          The amount of dues payable to the Club shall be fixed by the Executive
                                  Board at their discretion. Membership dues may be used at the Club's
                                  discretion.

       Section 5 -           The termination of any club member must be made by a unanimous 
                                   vote of the Executive Board of the Club, for conduct unbecoming a
                                   member or any other cause, upon giving the member in question full
                                   opportunity to hear and reply to the charge(s) or reason(s) for such
                                   action.

                                   
      Section 6 -             Any member may resign by tendering his resignation in writing to
                                   the Executive board, but such resignation shall not relieve the member
                                   from payment of any dues in arrears.

ARTICLE IV                 EXECUTIVE BOARD

      Section 1 -            The Executive Board shall consist of the Officers of the Club and
                                   five (5) other elected members.

       Section 2 -            The Executive Board shall have the power to proceed in any manner
                                   as may, in their judgement, serve the interest of the Club.

       Section 3 -            The decision of a majority of the Executive Board on any issue
                                    shall be binding until the next regular or special meeting of the Club,
                                    when such decision may be approved or disapproved.

       Section 4 -            There shall be nine (9) Board members, (President, Vice-                                 President,  Secretary, Treasurer & five (5) duly elected and
                                 Qualified Board Members). The Past President is not required 
                                  to be on the Board.                  


  ARTICLE V                   OFFICERS 

        Section 1 -           The elected Officers of this Club shall be: President, Vice-President,
                                    Secretary and Treasurer.

        Section 2 -           Said Officers shall hold office for a one (1) year term or until
                                   successors are duly elected and qualified. Additional Officers may
                                   be created by the Executive Board or by general meeting and
                                   approved by majority vote.

       Section 3 -            A Nominating Committee shall nominate a slate of Officers to be
                                  presented at the October meeting. Any additional nominations may
                                  be made from the floor.

ARTICLE VI                 DUTIES OF OFFICERS

        Section 1 -           The President shall preside at all meetings of the Club and 
                                    the Executive Board. Other duties are to appoint such committees
                                    as he deems necessary.

         Section 2 -          The Vice-President shall, in the absence of the President, 
                                    preside over the Club meeting.

        Section 3 -            The Secretary shall handle all official correspondence of the 
                                    Club and keep accurate records of the Club and Executive Board
                                    meetings.

       Section 4 -            The Treasurer shall manage the financial affairs of the Club,
                                   keep accurate records of transactions and be custodian
                                   of the Club's money. The Treasurer shall render a financial 
                                   report at the annual meeting of the Club or whenever the
                                   President or Executive Board shall request a report.

ARTICLE VII               MEETINGS

          Section 1 -        Club members shall hold monthly meetings.

          Section 2 -       The Executive Board will have quarterly meetings. Special Board
                                  meetings may be called by the President or any Board member at
                                  any time deemed necessary. Club members may attend board
                                  meetings.


ARTICLE VIII           AMENDMENTS

          Section 1 -       The Constitution may be amended by a two-thirds (2/3) vote of
                                  the members present at any meeting.
